Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Lantern analytics dashboard available at cliniclantern.com (the "Service"), operated by Clinic Lantern ("Lantern," "we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Lantern is a web-based analytics dashboard designed for therapy and healthcare clinic owners. It allows you to upload data exports from Jane App and other practice management software to generate operational metrics, including utilization rates, client retention, revenue tracking, and clinician performance analytics.
All clinic data processing occurs entirely within your web browser. Lantern's servers do not receive, store, or process your uploaded clinic data.
2. Eligibility
The Service is intended for business use by clinic owners, practice managers, and authorized clinic staff. By using the Service, you represent that:
- You are at least 18 years of age.
- You have the legal authority to enter into these Terms.
- You have the right and authorization to upload any data you provide to the Service.
- Your use of the Service complies with all applicable laws and regulations, including privacy legislation governing the data you upload.
3. Account Registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security and confidentiality of your login credentials.
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions and Payment
4.1 Pricing
Access to the Service requires a paid subscription. Current pricing is available on our website. We reserve the right to change pricing with 30 days' prior notice.
4.2 Billing
Subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
4.4 Free Trials
If we offer a free trial, you will not be charged until the trial period ends. If you do not cancel before the trial expires, your subscription will begin automatically and you will be billed at the applicable rate.
5. Your Data
5.1 Clinic Data
You retain full ownership of all data you upload to the Service ("Your Data"). We claim no ownership rights over Your Data.
Your Data is processed entirely in your web browser and stored in your browser's local storage. We do not have access to, and cannot recover, Your Data. You are solely responsible for maintaining backups of your original data files.
5.2 Data Accuracy
Lantern generates analytics based on the data you upload. The accuracy of metrics and reports depends on the completeness and accuracy of your input data. We do not guarantee the accuracy of analytics outputs and are not responsible for decisions made based on them.
5.3 Data Deletion
You can delete all clinic data stored in your browser at any time using the "Clear All Data" feature. Clearing your browser storage also removes this data. We cannot assist with recovering deleted clinic data.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload data that you do not have the right or authorization to use.
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to develop a competing product or service.
- Resell, sublicense, or redistribute access to the Service without our written consent.
- Use automated means (bots, scrapers, etc.) to access the Service.

7. Intellectual Property
7.1 Our Rights
The Service, including its design, features, code, documentation, branding, and all related intellectual property, is owned by Clinic Lantern and protected by Canadian and international intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
7.2 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable license to use that feedback for any purpose without obligation to you.
8. Third-Party Services
The Service integrates with or relies on third-party services, including:
- Supabase for authentication
- Stripe for payment processing
- Jane App as a data source (via your manual CSV/Excel exports)
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- Analytics outputs will be accurate, complete, or reliable.
- The Service will meet your specific requirements.
- Defects in the Service will be corrected.
Lantern is an analytics tool, not a healthcare service, electronic health record, clinical decision-support system, legal, accounting, or financial advisory service. It does not store or manage patient health records. You are solely responsible for decisions made based on data and metrics generated by the Service. 10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLINIC LANTERN, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
- ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Clinic Lantern and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your uploading of data that you were not authorized to use.
- Any claim by a third party related to data you uploaded to the Service.
12. Termination
12.1 By You
You may terminate your account at any time by cancelling your subscription and contacting us at support@cliniclantern.com.
12.2 By Us
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law. Upon termination, your right to use the Service ceases immediately.
12.3 Effect of Termination
Upon termination, your subscription will not renew, but you will not receive a refund for the current billing period. Sections of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11, and 13) will continue in effect.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts.
14. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Data Processing Disclaimer, constitute the entire agreement between you and Lantern regarding the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Notices. We may provide notices to you via email or through the Service. You may provide notices to us at support@cliniclantern.com.
15. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Service with an updated "Last Updated" date and, for material changes, by email at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
